These Terms of Service ("Terms") govern your access to and use of the website, online store, products, software, data, digital files, services, documentation, technical information, and other materials offered by MADMAN MOTORSPORTS, LLC ("MADMAN", "we", "us", or "our").

By accessing our website, creating an account, placing an order, purchasing or receiving a product, downloading or accessing any digital material, requesting or receiving a service, or otherwise using anything supplied by MADMAN, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not purchase, download, access, install, use, or permit another person to use any MADMAN Product.

1. Definitions

For purposes of these Terms, "Product" or "Products" means, collectively, anything sold, licensed, distributed, provided, made available, or otherwise supplied by MADMAN, whether provided for payment or free of charge.

Products include, without limitation, physical parts and components, assemblies, hardware, accessories, electronics, controllers, software, firmware, applications, utilities, calibrations, tunes, maps, configuration files, data files, tables, parameters, datasets, documentation, diagrams, specifications, instructions, recommendations, technical information, downloads, digital content, services, and other materials made available by MADMAN.

"Vehicle" includes any automobile, truck, motorcycle, powersports vehicle, off-highway vehicle, racing vehicle, engine, powertrain, machine, equipment, or other motorized vehicle or apparatus to which a Product may be installed, connected, uploaded, applied, configured, adapted, or otherwise used.

2. Strictly Off-Road and Competition Use Only

ALL MADMAN PRODUCTS THAT ARE INTENDED FOR, CAPABLE OF, OR SUITABLE FOR USE WITH A VEHICLE ARE SOLD, LICENSED, DISTRIBUTED, AND PROVIDED EXCLUSIVELY FOR LAWFUL OFF-ROAD, CLOSED-COURSE, RACING, COMPETITION, DEVELOPMENT, RESEARCH, OR OTHER NON-STREET USE.

NO MADMAN PART, COMPONENT, SOFTWARE, FIRMWARE, CALIBRATION, TUNE, MAP, FILE, DATA, INSTRUCTION, SERVICE, DOWNLOAD, FREE MATERIAL, PAID MATERIAL, OR OTHER PRODUCT MAY BE USED ON OR WITH A VEHICLE FOR STREET OR HIGHWAY USE.

Products may not be installed on, loaded onto, connected to, configured for, applied to, or otherwise used with a Vehicle while that Vehicle is operated on a public street, public road, public highway, or other public right-of-way.

The fact that a Vehicle may be registered, titled, licensed, insured, inspected, or otherwise capable of lawful street operation does not constitute authorization from MADMAN to use any Product on that Vehicle for street or highway use.

Any Product used with a Vehicle must be used only in a lawful environment appropriate for the Product and only where the Vehicle's configuration and operation comply with all applicable federal, state, provincial, local, track, sanctioning-body, environmental, emissions, noise, safety, and other laws, regulations, rules, and requirements.

By purchasing, downloading, receiving, installing, accessing, or using a Product, you represent and warrant that the Product will not be used for street or highway operation and that you will not permit another person to use the Product for such operation.

3. Emissions and Regulatory Compliance

Nothing sold, licensed, published, communicated, or otherwise provided by MADMAN constitutes authorization to violate any emissions, environmental, vehicle-safety, equipment, noise, registration, inspection, transportation, or other applicable law or regulation.

You may not use a Product to unlawfully bypass, defeat, disable, remove, render inoperative, or reduce the effectiveness of any emissions-control, emissions-monitoring, safety, diagnostic, or other legally required system or device.

A Product's designation, description, advertising, packaging, documentation, or labeling as "off-road," "racing," "competition," "closed-course," "track use only," or similar terminology does not represent or warrant that every possible installation, sale, possession, configuration, or use of that Product is lawful in every jurisdiction.

Laws and regulations vary by jurisdiction and may change over time. You are solely responsible for determining whether your purchase, possession, installation, configuration, transfer, and intended use of a Product are lawful.

MADMAN makes no representation or warranty that any Product is emissions compliant, street legal, inspection compliant, registration compliant, certified, approved, exempted, or otherwise authorized for use in any jurisdiction unless MADMAN expressly states otherwise in a separate written certification applicable to that specific Product and use.

MADMAN reserves the right to refuse, restrict, suspend, or cancel an order, download, license, service, or other transaction when we reasonably believe the transaction or intended use may violate applicable law, regulation, these Terms, or a Product-specific restriction.

4. No Street-Legal Representation

Unless expressly stated in a separate written certification issued by MADMAN for a specific Product, MADMAN does not represent that a Product is legal or suitable for use on public roads or highways.

Product descriptions, photographs, videos, demonstrations, customer vehicles, technical discussions, installation examples, dyno results, testing results, marketing materials, social-media content, or other materials must not be interpreted as authorization or encouragement to use a Product on public streets or highways.

5. Motorsports and Vehicle Modification Risks

Vehicle modification, testing, racing, motorsports, fabrication, tuning, repair, and operation of modified vehicles are inherently dangerous activities.

Installation or use of aftermarket Products may alter vehicle power, handling, braking, traction, temperatures, pressures, mechanical loads, electrical loads, reliability, emissions, noise, safety systems, component life, or other operating characteristics.

Such activities can result in mechanical failure, electrical failure, loss of vehicle control, fire, property damage, environmental damage, serious bodily injury, permanent disability, or death.

To the maximum extent permitted by applicable law, you voluntarily assume all risks associated with the selection, purchase, installation, configuration, modification, testing, maintenance, and use of Products and any Vehicle in which or with which a Product is used.

6. Installation, Configuration, and Maintenance

Products must be installed, configured, inspected, tested, and maintained by persons possessing the knowledge, training, tools, equipment, and qualifications appropriate to the work being performed.

Installation instructions, documentation, diagrams, specifications, technical support, examples, recommendations, or other information provided by MADMAN are general informational resources and are not substitutes for professional judgment, appropriate testing, proper workmanship, or inspection of the particular Vehicle and installation.

You are responsible for verifying all dimensions, clearances, tolerances, fasteners, wiring, plumbing, fluids, pressures, temperatures, software configurations, operating parameters, safety equipment, and compatibility before operating a Vehicle.

You are also responsible for inspecting a Vehicle and its Products before each use and for immediately discontinuing operation if any unsafe, abnormal, or questionable condition exists.

7. Fitment and Compatibility

Product fitment, compatibility, specification, configuration, and application information is provided in good faith but may depend on Vehicle condition, model year, production changes, prior modifications, third-party equipment, manufacturing tolerances, software versions, installation methods, and other factors outside MADMAN's control.

Unless expressly warranted in writing for a specific Product, a statement that a Product "fits," is "compatible," or is intended for a particular application does not guarantee that no modification, fabrication, calibration, adaptation, troubleshooting, or additional components will be required.

You are responsible for confirming suitability and compatibility before purchase, installation, configuration, or use.

8. Performance Information and Results

Horsepower, torque, flow, temperature, pressure, efficiency, acceleration, weight, dimensions, capacity, response, durability, performance figures, test results, dyno results, simulations, estimates, or other specifications are provided for informational and comparative purposes unless expressly guaranteed in a Product-specific written warranty.

Actual results vary based on the Vehicle, engine, drivetrain, environmental conditions, fuel, supporting equipment, installation, calibration, maintenance, testing method, operator, and numerous other factors.

MADMAN does not guarantee any particular performance level, power increase, competitive result, reliability level, vehicle lifespan, or other outcome merely because a Product description, test, example, or demonstration reports a particular result.

9. Software, Data, Tunes, Calibrations, and Digital Products

Unless separate license terms accompany a particular digital Product, MADMAN grants the lawful purchaser or authorized recipient a limited, revocable, non-exclusive, non-transferable license to use that Product for its intended lawful off-road or competition purpose, subject to these Terms.

Ownership of software, firmware, calibrations, tunes, maps, files, datasets, documentation, or other digital Products is not transferred merely because access to or a copy of the Product is provided.

Except to the extent expressly permitted by MADMAN in writing or required by applicable law, you may not reproduce, redistribute, resell, sublicense, publish, upload, share, commercially exploit, circumvent access controls for, reverse engineer, decompile, disassemble, or create unauthorized derivative works from a digital Product.

Digital Products may depend on particular hardware, firmware, software, operating systems, controllers, Vehicle configurations, third-party products, or versions. You are responsible for confirming compatibility and maintaining appropriate backups before installation or use.

Installing or using software, firmware, data, a tune, calibration, map, or configuration file may alter Vehicle behavior and may cause a Vehicle or component to malfunction if the Product is incompatible, incorrectly configured, improperly installed, corrupted, interrupted during installation, or used outside its intended parameters.

You assume responsibility for backing up applicable data and configurations and for having an appropriate recovery procedure before using a digital Product.

10. Technical Information and Support

Statements made by MADMAN personnel through email, telephone, messaging, social media, forums, technical support, product documentation, or other communications are informational unless expressly incorporated into a written Product warranty or written agreement signed by an authorized representative of MADMAN.

Technical information is based on the information made available to MADMAN at the time and may not account for undisclosed modifications, defects, wear, installation errors, third-party components, or other conditions affecting a particular Vehicle.

You remain responsible for independently evaluating the safety, compatibility, legality, and suitability of any Product or technical information for your intended lawful use.

11. Orders and Acceptance

Submission of an order constitutes an offer to purchase Products subject to these Terms. An automated order confirmation acknowledges receipt of the order but does not necessarily constitute final acceptance.

MADMAN may accept, reject, restrict, or cancel an order as permitted by applicable law, including because of Product availability, suspected fraud, pricing or description errors, payment issues, shipping restrictions, regulatory concerns, or suspected violation of these Terms.

If MADMAN cancels an order after collecting payment and no Product has been supplied, MADMAN will refund the applicable amount collected for the cancelled item unless a different remedy is required by law.

12. Pricing, Payment, and Taxes

Prices are stated in United States Dollars (USD, $) unless otherwise indicated and may change without notice before an order is accepted.

MADMAN attempts to provide accurate pricing and Product information but may correct typographical, technical, inventory, pricing, or other errors.

You authorize MADMAN and its payment processors to charge the payment method provided for all amounts associated with an accepted order, including applicable taxes, shipping charges, and other disclosed charges.

You are responsible for taxes, duties, customs charges, brokerage fees, and other governmental charges for which you are legally responsible.

13. Shipping, Delivery, and Risk of Loss

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

MADMAN is not responsible for delays caused by carriers, customs, governmental actions, weather, natural disasters, labor disruptions, supply-chain interruptions, incorrect delivery information, or other events outside MADMAN's reasonable control.

Title and risk of loss will pass as provided by applicable law and the shipping terms applicable to the transaction.

Any visible shipping damage, shortage, or delivery discrepancy should be reported promptly in accordance with our Shipping and Returns Policy.

14. Returns, Exchanges, and Cancellations

Returns, exchanges, order cancellations, restocking charges, and related matters are governed by the MADMAN Shipping and Returns Policy, which is incorporated into these Terms by reference.

Certain Products may be non-returnable where disclosed before purchase, including Products that are custom manufactured, specially configured, personalized, used, installed, damaged after delivery, electronically delivered, licensed, or otherwise unsuitable for resale, subject in all cases to rights that cannot lawfully be excluded.

15. Product Inspection and Claims

You should inspect Products promptly after delivery and before installation or use.

A Product that appears damaged, defective, incorrect, incomplete, or unsafe must not be installed or used. Contact MADMAN promptly at support@madmanmotorsports.com with the order number, Product information, photographs if applicable, and a description of the issue.

Installation or continued use of a Product after discovery of a known or reasonably apparent unsafe condition may cause additional damage or injury.

16. Warranties

A Product may be covered by a separate written warranty expressly provided by MADMAN or the Product's manufacturer. If a separate written warranty applies, that warranty controls with respect to the matters it specifically covers.

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY THAT MADMAN SPECIFICALLY PROVIDES FOR A PRODUCT, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS."

To the maximum extent permitted by applicable law, MADMAN disclaims all warranties not expressly stated in an applicable written warranty, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, and warranties arising from course of dealing or usage of trade.

Some jurisdictions do not permit certain exclusions or limitations of implied warranties. Nothing in these Terms excludes, restricts, or modifies a warranty, right, remedy, or protection that applicable law does not permit the parties to exclude, restrict, or modify.

17. Manufacturer and Third-Party Products

MADMAN may sell or distribute Products manufactured, developed, licensed, hosted, or supplied by third parties.

Third-party Products may be subject to additional manufacturer warranties, licenses, terms, restrictions, instructions, or policies. You are responsible for complying with applicable third-party terms.

To the maximum extent permitted by applicable law, MADMAN is not responsible for representations, warranties, acts, omissions, services, software, or products of unaffiliated third parties except to the extent MADMAN has expressly assumed such responsibility in writing.

18. Assumption of Risk

To the maximum extent permitted by applicable law, you knowingly and voluntarily accept and assume all risks associated with motorsports, vehicle modification, Product installation, Product configuration, Product testing, and operation of a Vehicle using a Product.

These risks include both known and unknown risks and may result from your actions, the actions of other persons, Vehicle condition, Product failure, installation errors, environmental conditions, track conditions, or other causes.

19. Prohibited Uses

You may not use, install, distribute, configure, or permit the use of a Product:

• for operation of a Vehicle on public streets, roads, or highways;
• in violation of any applicable law, regulation, rule, or order;
• to unlawfully defeat, bypass, disable, remove, or render ineffective a required emissions-control, emissions-monitoring, diagnostic, or safety system;
• in a manner inconsistent with a Product-specific restriction;
• in a manner reasonably likely to create an unreasonable risk of injury, death, property damage, or environmental harm;
• to misrepresent a Vehicle's emissions, safety, inspection, certification, or regulatory status;
• to violate another person's intellectual-property, contractual, or other legal rights; or
• for any fraudulent, deceptive, or unlawful purpose.

20. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MADMAN MOTORSPORTS, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns from and against third-party claims, actions, liabilities, damages, judgments, losses, penalties, fines, costs, and reasonable attorneys' fees arising out of or relating to:

• your unlawful or unauthorized use of a Product;
• street or highway use of a Product;
• your installation, modification, configuration, or operation of a Product;
• your violation of these Terms;
• your violation of applicable law or regulation;
• your violation of the rights of another person or entity; or
• your acts or omissions in connection with a Vehicle or Product,

except to the extent a claim results from conduct for which applicable law does not permit MADMAN to obtain indemnification.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MADMAN MOTORSPORTS, LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO A PRODUCT OR THESE TERMS.

This exclusion includes, without limitation and to the extent permitted by law, loss of use, loss of revenue, loss of profits, loss of data, loss of business opportunity, loss of competition entry fees or prizes, towing, transportation, storage, lodging, travel expenses, rental expenses, vehicle downtime, diagnostic expenses, labor charges, removal or reinstallation charges, damage to an engine, transmission, drivetrain, Vehicle, component, equipment, or other property, and losses arising from participation in or inability to participate in an event.

To the maximum extent permitted by applicable law, MADMAN's aggregate liability arising out of or relating to a particular Product, transaction, or occurrence will not exceed the amount actually paid to MADMAN for the Product giving rise to the claim.

For a Product supplied without charge, to the maximum extent permitted by applicable law, MADMAN's aggregate liability arising from that Product will not exceed $0.00 USD.

The limitations in this section apply regardless of the theory of liability, whether based in contract, warranty, tort, negligence, strict liability, statute, or otherwise, and even if MADMAN has been advised of the possibility of such damages.

Nothing in these Terms limits liability to the extent such liability cannot lawfully be excluded or limited.

22. Release

To the maximum extent permitted by applicable law, you release MADMAN MOTORSPORTS, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns from claims arising from risks that you have expressly assumed under these Terms or from your unauthorized, unlawful, or prohibited use of a Product.

This release does not apply to any claim or liability that applicable law prohibits the parties from releasing.

23. Intellectual Property

The MADMAN website and its original text, graphics, photographs, videos, logos, trademarks, software, documentation, designs, data, downloadable materials, and other content are owned by or licensed to MADMAN and are protected by applicable intellectual-property laws.

Except for the limited right to use Products in accordance with these Terms, no intellectual-property right or license is granted by implication, estoppel, or otherwise.

MADMAN MOTORSPORTS, MADMAN, associated logos, and other MADMAN marks may not be used without prior written permission except as permitted by applicable law.

24. Website Content

We attempt to keep website information accurate and current but do not guarantee that all descriptions, specifications, images, pricing, availability information, compatibility information, or other content will at all times be complete, accurate, or error-free.

Product images may be representative. Manufacturers may revise Products, packaging, components, specifications, or designs without notice.

MADMAN may correct errors and update website content at any time, subject to applicable law and existing accepted orders.

25. Privacy

MADMAN's collection and handling of personal information is governed by our Privacy Policy available.

26. Electronic Communications

By conducting business with MADMAN electronically, you consent to receiving transaction-related records, notices, disclosures, and communications in electronic form where permitted by law.

You are responsible for maintaining a valid email address and accurate account and contact information.

27. Eligibility and Authority

You must have the legal capacity to enter into a binding agreement to purchase, license, download, or use a Product.

If you act on behalf of a business, racing team, organization, government entity, or other legal entity, you represent that you have authority to bind that entity to these Terms.

28. Resale and Transfer

A reseller, distributor, installer, tuner, shop, integrator, or other commercial purchaser may not remove, obscure, contradict, or misrepresent MADMAN's off-road-use restrictions, safety warnings, regulatory restrictions, Product limitations, or other notices.

Any permitted resale or transfer of a physical Product does not authorize street use or any other prohibited use and does not automatically transfer a software or digital-content license unless the applicable license expressly permits transfer.

29. Export and Sanctions Compliance

You are responsible for complying with applicable import, export, customs, trade-control, and sanctions laws relating to your purchase, receipt, transfer, or use of Products.

MADMAN may refuse or cancel transactions that we reasonably believe would violate applicable trade restrictions or other law.

30. Force Majeure

To the maximum extent permitted by applicable law, MADMAN will not be liable for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic conditions, war, terrorism, civil disturbance, governmental action, labor disruptions, utility failures, internet or telecommunications failures, carrier delays, supplier failures, shortages, transportation interruptions, or similar events.

31. Governing Law

These Terms and any dispute arising out of or relating to these Terms or a Product will be governed by the laws of the State of Vermont, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

32. Venue and Jurisdiction

To the extent permitted by applicable law, any legal action arising out of or relating to these Terms or a Product must be brought exclusively in the state or federal courts located in Chittenden, Vermont, and each party consents to the personal jurisdiction of those courts.

33. Time Limit for Claims

To the maximum extent permitted by applicable law, any claim arising out of or relating to these Terms or a Product must be commenced within 90 days after the claim accrued, or such longer period as applicable law requires.

34. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

35. No Waiver

MADMAN's failure or delay in enforcing any provision of these Terms does not waive that provision or any other right.

36. Assignment

You may not assign or transfer your rights or obligations under these Terms without MADMAN's prior written consent.

MADMAN may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or other lawful business transaction, subject to applicable law.

37. No Third-Party Beneficiaries

Except for persons expressly entitled to protection under the indemnification, release, warranty-disclaimer, and limitation-of-liability provisions of these Terms, these Terms do not create rights in any third party.

38. Entire Agreement

These Terms, together with any Product-specific written terms, applicable written warranty, Privacy Policy, Shipping and Returns Policy, and other policies expressly incorporated by reference, constitute the agreement between you and MADMAN regarding their subject matter.

In the event of a conflict, Product-specific written terms expressly stating that they supersede these Terms will control with respect to that Product.

39. Changes to These Terms

MADMAN may revise these Terms from time to time. Revised Terms will be posted with an updated effective date.

Unless applicable law requires otherwise, the terms applicable to a completed Product purchase are the terms in effect when MADMAN accepted the applicable order. Revised Terms apply prospectively to later transactions and continued website or service use after their effective date.

40. Survival

Provisions that by their nature should survive termination or completion of a transaction will survive, including provisions concerning Product-use restrictions, intellectual property, licenses, assumption of risk, indemnification, warranty disclaimers, releases, limitation of liability, governing law, and dispute resolution.

42. Acknowledgment

BY PURCHASING, DOWNLOADING, RECEIVING, INSTALLING, ACCESSING, OR USING A PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, INCLUDING THE STRICT OFF-ROAD-USE RESTRICTION, ASSUMPTION OF RISK, WARRANTY DISCLAIMERS, INDEMNIFICATION OBLIGATIONS, AND LIMITATIONS OF LIABILITY, AND YOU AGREE TO BE BOUND BY THEM.
